Unless otherwise stated, quotations are valid only for the period specified in the quote. If no validity period is stated, the quotation may be withdrawn or amended at any time before the order is accepted.
5. Orders
Orders are placed through direct enquiry and confirmation with Harbour Food Supply Co. An order is not binding on Harbour Food Supply Co. until it has been accepted by us.
We reserve the right to accept or reject any order at our discretion, including where:
-goods are unavailable
-pricing errors have occurred
-supply is affected by circumstances outside our control
-customer account or payment requirements have not been met
-order details are incomplete or inaccurate
-Any variations to an order requested after confirmation may be accepted only at our discretion and may result in changes to pricing, delivery timing, or availability.
7. Pricing
All pricing is subject to quotation, invoice, and confirmation by Harbour Food Supply Co. Prices may change without notice prior to order confirmation. Unless otherwise stated, prices do not include freight, delivery charges, handling charges, taxes, duties, or other applicable fees.
Any applicable charges will be included in the quotation, invoice, or otherwise advised to the customer.
8. Payment Terms
Payment must be made in accordance with the invoice terms issued by Harbour Food Supply Co. We may require payment in advance, partial payment, or payment on agreed trading terms depending on the customer relationship and order type.
Once a client is contracted, we will also have a nominated account where approved orders can be direct debited based on invoice terms.
If payment is not received by the due date, we reserve the right to:
-suspend supply
- Withhold delivery
- Cancel outstanding orders
-revoke any agreed credit arrangements
- Recover any reasonable costs associated with late payment collection
-Payment made by card, bank transfer, or other approved payment methods must be made by the customer or an authorised representative of the customer.
9. Delivery and Collection
Delivery or collection arrangements will be agreed upon at the time of order. Any delivery date or timeframe provided by Harbour Food Supply Co. is an estimate only unless expressly confirmed otherwise in writing.
We are not liable for delays in delivery caused by factors beyond our reasonable control, including transport delays, supplier disruption, port delays, labour shortages, weather events, customs issues, equipment failures, or other unforeseen circumstances.
The customer is responsible for ensuring that delivery access, receiving conditions, storage readiness, and contact details are accurate and available at the agreed time.
If delivery cannot be completed due to customer-related reasons, additional delivery, storage, handling, or redirection charges may apply.
10. Risk and Title
Risk in the goods passes to the customer upon delivery, collection, or transfer to the customer’s nominated carrier, whichever occurs first.
Title to the goods remains with Harbour Food Supply Co. until all amounts owing in respect of the relevant goods, and any other amounts due by the customer to Harbour Food Supply Co., have been paid in full.
Until the title passes, the customer must store the goods separately and in a manner that clearly identifies them as supplied by Harbour Food Supply Co., where applicable and practical.
11. Inspection of Goods
The customer must inspect goods promptly upon delivery or collection. Any claim relating to incorrect supply, visible damage, shortage, or defect that could reasonably be identified on inspection must be notified to Harbour Food Supply Co. as soon as possible after receipt.
Failure to notify us within a reasonable period may affect our ability to investigate or resolve the issue.
12. Returns, Refunds, and Product Issues
As Harbour Food Supply Co. is a B2B wholesale supplier, returns, refunds, replacements, or credits are handled in accordance with agreed trading terms and applicable law.
Goods will not be accepted for return without prior approval from Harbour Food Supply Co. Approved returns must be made in accordance with our instructions and may be subject to product condition, shelf life, storage handling, and timing requirements.
No refund, replacement, or credit will be provided where product issues arise from:
-improper storage
-mishandling after delivery
-use outside intended purpose
-failure to inspect goods on receipt
-delay in reporting the issue
-normal variation in product characteristics within acceptable commercial tolerance
-Where a valid issue is confirmed, our liability is limited, at our option, to replacement of the goods, resupply, or the issue of a credit or refund for the affected goods.
13. Customer Responsibilities
The customer is responsible for:
-providing accurate order and delivery information
-ensuring all purchases are authorised by the customer
-ensuring suitable storage, handling, and food safety conditions after delivery
-complying with all laws and regulatory requirements relevant to the customer’s use, resale, or handling of the goods
-checking that products ordered are suitable for the customer’s intended use
14. No Resale Representations
Where goods are resold or supplied onward by the customer, Harbour Food Supply Co. makes no representation as to the customer’s resale arrangements, pricing, marketing, or onward obligations. The customer is solely responsible for compliance with any legal or commercial obligations applying to onward supply.
